THIS AGREEMENT is made between:

ELINERS TOURS AND CAR HIRE LIMITED
P.O. Box 1176-30100, Eldoret, Kenya
"The Company"
THE VEHICLE SUPPLIER
The person or entity registering as a vehicle provider
"The Supplier"

The Company and the Supplier are together referred to as "the Parties".

Preliminary Statements

WHEREAS:

  • A. The Company operates an online platform, www.elinerstourscarhire.com, for transport and vehicle hire services.
  • B. The Supplier owns or lawfully controls one or more vehicles and wishes to offer them for hire through the Company.
  • C. The Parties wish to set out their relationship in writing on the terms below.
Interpretation

In this Agreement, unless the context requires otherwise:

singular includes plural and vice versa
"person" includes an individual, company, or other legal entity
headings are for convenience only
references to clauses are references to this Agreement
1. Appointment and Acceptance

Appointment: The Supplier appoints the Company on a non-exclusive basis to market, source, and arrange bookings for the Supplier's vehicle(s), and the Company accepts that appointment.

  • Offer: This Agreement is offered through the Company's website or other written communication.
  • Acceptance: The Supplier accepts by clicking "I Agree", signing up, submitting vehicle details, or allowing the Company to make a booking on the Supplier's behalf.
  • Commencement: This Agreement starts on the earlier of acceptance or the first booking confirmation.
  • Duration: This Agreement continues until terminated under Clause 10.
2. Compensation and Payment Terms

Fee Deduction: The Company may deduct its agreed commission and any applicable taxes from the booking amount before remitting the balance to the Supplier. Any change to the fee structure must be agreed in writing or updated on this page with prior notice.

Tax Compliance: The Parties shall comply with applicable Kenyan tax laws, and each Party shall issue any tax documentation required by law.

Payment Method: Payments shall be made by M-Pesa, bank transfer, or any other method agreed in writing.

Payment Timeline: Unless otherwise agreed, payment shall be made within 7 days after completion of the trip and verification of the booking.

3. Supplier Warranties and Obligations

3.1 Ownership and Authority

  • The Supplier is the legal owner of, or has full authority to supply, the vehicle(s).
  • The vehicle(s) are not subject to any undisclosed lien, encumbrance, or restriction that would prevent lawful hire.
  • The Supplier has full capacity and authority to enter into this Agreement.

3.2 Condition and Compliance

  • Each vehicle shall be roadworthy, clean, and mechanically sound.
  • Each vehicle shall have all valid permits, inspection documents, and approvals required under Kenyan law.
  • The Supplier shall ensure that all documents provided to the Company are accurate and current.

3.3 Replacement Vehicle

If a booked vehicle becomes unavailable for any reason, the Supplier shall notify the Company immediately and, where possible, provide a suitable replacement vehicle within 4 hours. If no replacement is provided, the Company may source an alternative vehicle and recover the reasonable additional cost from the Supplier where the unavailability is caused by the Supplier.

4. Driver Requirements and Conduct

4.1 Driver Credentials

  • A valid driving licence for the relevant vehicle class.
  • Any PSV or other permit required by law.
  • Reasonable experience and a professional driving record.

4.2 Conduct

  • The driver shall comply with traffic laws and all client instructions that are lawful and reasonable.
  • The driver shall not use alcohol or prohibited substances while on duty.
  • The driver shall not abandon the client or the vehicle without lawful excuse or authorization.
  • The driver shall not misuse client data or contact clients for private business.
Responsibility: The Supplier remains responsible for the acts and omissions of its driver(s), except where loss is caused solely by the Company's negligence or instructions.
5. Insurance Requirements

Excess: Insurance excess shall be borne by the Party responsible for the loss, act, or omission giving rise to the claim, subject to the insurance policy terms.

6. Cross-Border Travel

If a client requests travel outside Kenya, the Supplier shall ensure that:

  • All required insurance and travel documents are valid.
  • The vehicle is legally cleared for cross-border travel.
  • Any additional permits or documents required by the destination country are obtained in advance where applicable.

All cross-border documentation costs shall be borne by the Supplier unless agreed otherwise in writing.

7. Data Protection, Confidentiality and Intellectual Property

The Supplier shall not:

  • Misuse, disclose, sell, or contact clients using personal data received through the Company.
  • Use the Company's name, branding, or platform content without prior written consent.
  • Access, scrape, hack, reverse engineer, or interfere with the Company's systems.
  • Use client data except to complete the relevant booking or as otherwise instructed in writing.

Data Protection: Each Party shall comply with the Data Protection Act, 2019 and all applicable Kenyan data protection rules. The Supplier shall keep client information confidential and use it only for lawful booking-related purposes.

Protection of Company Rights: The Supplier acknowledges and agrees that all intellectual property rights, proprietary rights, and other rights of any kind whatsoever in and to the Company’s name, trade name, logo, trademarks, website, domain names, platform, software, source code, database, content, photographs, text, designs, layout, branding, marketing materials, customer records, booking information, and all other materials or information supplied or made available by the Company shall remain the sole and exclusive property of Eliners Tours and Car Hire Limited or its licensors, as applicable. The Supplier shall not, without the Company’s prior written consent, directly or indirectly copy, reproduce, adapt, alter, distribute, publish, disclose, transmit, sell, license, assign, sublicense, reverse engineer, decompile, scrape, extract, misuse, or create derivative works from any such materials, nor shall the Supplier use the Company’s name, logo, branding, or proprietary information for any purpose other than the performance of this Agreement. The Supplier further shall not register, attempt to register, challenge, oppose, or claim any right in any trademark, trade name, domain name, social media handle, or other identifier that is identical or confusingly similar to the Company’s rights or branding. Any breach of this clause shall constitute a material breach of this Agreement and shall entitle the Company to immediate termination, injunctive relief, and any other remedies available at law or in equity, without prejudice to any other rights or claims.

8. Indemnity

The Supplier shall indemnify and hold harmless the Company, its directors, employees, and agents against losses, claims, damages, liabilities, costs, and expenses arising from the Supplier's breach of this Agreement, negligence, unlawful conduct, or the acts or omissions of its driver(s), except to the extent caused by the Company's own negligence or wilful misconduct.

9. Termination

9.1 Notice

Either Party may terminate this Agreement by giving 7 days' written notice to the other Party.

9.2 Immediate Termination

The Company may terminate immediately if the Supplier materially breaches this Agreement, provides false information, misuses client data, or operates unlawfully.

9.3 Effect of Termination

Termination does not affect rights and obligations that arose before termination. Outstanding verified payments shall be settled within 14 days, subject to any lawful deductions or claims.

10. Default and Remedies

10.1 Supplier Default

If the Supplier cannot fulfil a confirmed booking due to breakdown, no-show, or another fault, the Company may give written notice requiring remedy within a reasonable time. If the default is not cured, the Company may source an alternative vehicle and recover the reasonable additional cost from the Supplier.

10.2 Company Default

If the Company fails to pay verified amounts due, the Supplier may issue written notice requesting payment within 7 days.

11. Force Majeure

Neither Party shall be liable for delay or failure to perform caused by events beyond reasonable control, including natural disasters, war, civil unrest, government action, or pandemics, provided that the affected Party gives prompt notice and takes reasonable steps to reduce the impact.

12. Governing Law and Dispute Resolution
  • Governing Law: This Agreement shall be governed by and interpreted in accordance with the laws of Kenya.
  • Dispute Resolution: The Parties shall first attempt to resolve disputes amicably. If unresolved, the dispute shall be submitted to the courts of Kenya, which shall have exclusive jurisdiction.
13. Changes to These Terms

The Company may update these Terms from time to time. Any update will take effect when posted on this page or when the Company gives written notice to the Supplier, whichever happens first. Continued use of the service after notice of an update means the Supplier accepts the updated Terms.

By registering with or using the Eliners Tours and Car Hire platform, the Supplier confirms that it has read, understood, and agreed to be bound by these Terms and Conditions.
